Salvatore Terms of Service

Please read these Salvatore Terms of Service (the "Salvatore Terms" or "Salvatore Terms of Service") carefully as they govern (i) your access to and use of our Sites, (ii) your access to and use of our Applications, or (iii) your access to and use of our services that link to or reference the Salvatore Terms, and contain important information about your legal rights, remedies and obligations. The Site, Application and other Salvatore services together are hereinafter collectively referred to as the "Salvatore Platform." By accessing or using the Salvatore Platform, you are agreeing to the Salvatore Terms and concluding a legally binding contract with Salvatore, whether or not you become a registered Member of the Salvatore Platform. Certain areas of the Salvatore Platform may have different terms and conditions, standards, guidelines, or policies posted or may require you to agree with and accept additional terms and conditions. If there is a conflict between the Salvatore Terms and the terms and conditions posted for a specific area of the Salvatore Platform, the terms and conditions that are specific to that area will take precedence with respect to your use of, or access to, that area of the Salvatore Platform.

You may be referred to in the Salvatore Terms as "you" or "your" and may be referred to specifically in your applicable role as a Company or a Member (each as defined below). If you are entering into the Salvatore Terms on behalf of a company or other legal entity (such company or legal entity, the "Company"), the Salvatore Terms shall be a binding agreement between Salvatore and the Company that you represent, and you represent that you have the authority to bind such Company, its Members, and its affiliates to the Salvatore Terms. In that case, the terms "you" or "your" shall also refer to such entity, its Members, and its affiliates, as applicable. If you do not have such authority, or if you do not agree with the Salvatore Terms, you may not use the Service. If you are entering into the Salvatore Terms as the parent or legal guardian of a child who will use the Salvatore Platform, the Salvatore Terms shall be a binding agreement between Salvatore and you, and you represent that you will maintain control over the settings and functionality of your Salvatore Account. If you are entering into the Salvatore Terms as an individual and not on behalf of a company or other legal entity, the Salvatore Terms shall be a binding agreement between Salvatore and you personally. You acknowledge that the Salvatore Terms are a contract between you and Salvatore, even though it is electronic and is not physically signed by you and Salvatore, and that it governs your use of the Service.

You represent that you have read and understood our Privacy Policy, which is available at https://www.salvatorelingo.com/privacy_security/. Note that we may disclose information about you to third parties if we have a good faith belief that such a disclosure is reasonably necessary to (i) take action regarding suspected illegal activities; (ii) enforce or apply the Salvatore Terms or other Salvatore Policies (as defined below); (iii) comply with legal process or other government inquiry, such as a search warrant, subpoena, statute, judicial proceeding or other legal process served on us; or (iv) protect our rights, reputation, and property or that of our Members, affiliates or the public. Our (a) Teacher Policy, which is available at https://www.salvatorelingo.com/instructorterms (the "Teacher Policy"); (b) Payment Policy, which is available at https://www.salvatorelingo.com/paymentterms (the "Payment Policy"); and (c) Copyright Policy, which is available at https://www.salvatorelingo.com/copyrightpolicy (the "Copyright Policy"), together with the Privacy Policy, Teacher Policy, Payment Policy, and Copyright Policy (collectively, the "Salvatore Policies"), to the extent applicable to your use of the Salvatore Platform, are incorporated by reference into these Salvatore Terms.

Do not access or use the Salvatore Platform if you are unwilling or unable to be bound by these Salvatore Terms.

Contacting Customer Service

1. Definitions

"Applications" means the applications for mobile, tablet, and other smart devices and application program interfaces provided by Salvatore, including but not limited to the mobile applications entitled as "Salvatore." "Salvatore," "we," "us," or "our" means (i) Salvatore Limited, with respect to Members that access and use the Salvatore Service; and (ii) Salvatore, with respect to any additional services. "Salvatore Content" means any content that Salvatore creates and makes available in connection with the Salvatore Platform, including proprietary Salvatore content and any content licensed or authorized for use by or through Salvatore from a third party, but excluding Member Content. "Salvatore Product" means the Application(s) of "Salvatore," the Site "www.salvatorelingo.com" and any website operated by Salvatore Limited. "Member Content" means all content, such as text, photos, audio, video, or other materials and information, that a Member posts, uploads, publishes, submits, or transmits through their Member profile. "Sites" means Salvatore’s websites, including but not limited to www.salvatorelingo.com. "Student" means a Member that purchases Teacher Services. "Teacher" means a Member that offers and delivers Teacher Services. "Teacher Services" means all services delivered by Teachers as described in the Teacher Policy, including but not limited to paid lessons, packages, and other services rendered where Salvatore Credits (as defined in the Payment Policy) are exchanged. "Plus Members" means Members who purchase Paid Services or Paid Subscription Services.

2. Relationship

The Salvatore Platform is an online venue for language learning where registered Members ("Members") may use our Connection Services and Payment Services to directly interact with one another. You understand and agree that Salvatore is not a party to any agreements entered into between Students and Teachers or between Members, nor is Salvatore a language services broker or agent. Salvatore has no control over the conduct of Students, Teachers, Members, or other Members of the Salvatore Platform and disclaims all liability in this regard to the maximum extent permitted by law.

If you choose to teach on the Salvatore Platform, you understand and agree that your relationship with Salvatore is limited to being a Member and an independent, third-party contractor, and not an employee, agent, joint venturer, or partner of Salvatore for any reason. You act exclusively on your own behalf and for your own benefit, and not on behalf of or for the benefit of Salvatore. Salvatore does not control, and has no right to control, your profile or any services that you provide. As a Member, you agree not to create any false impression of endorsement by Salvatore.

3. Modification

3.1 Changes to Paid Services and Paid Subscription Services: We are continuously developing new features and may manage, regulate, control, modify, or eliminate any features and services provided (including Paid Services and Paid Subscription Services) at any time, with or without notice. Salvatore shall have no liability for any such modifications.

3.2 Changes to Subscription Pricing: Prices for Paid Services and Paid Subscription Services may change from time to time. Salvatore will provide at least 30 days’ notice of any material changes. If you do not wish to continue under the new terms, you may cancel your subscription in advance.

3.3 Changes to this Agreement: Salvatore reserves the right to modify the Salvatore Platform and these Salvatore Terms at any time without prior notice. Updated terms will be posted on our Sites with the "Last Updated" date revised. Your continued use of the Salvatore Platform constitutes acceptance of the modified terms.

4. Eligibility

The Salvatore Platform is available only to individuals who are 18 years or older and who can form legally binding contracts under applicable law.

WHILE WE MAKE GOOD FAITH EFFORTS TO VERIFY THE PROFESSIONAL QUALIFICATIONS OF EACH TEACHER ON THE SALVATORE PLATFORM, WE CANNOT ASSURE THE CHARACTER OR ACCURACY OF THE INFORMATION PROVIDED BY TEACHERS. WHEN INTERACTING WITH OTHER MEMBERS, YOU SHOULD EXERCISE CAUTION AND COMMON SENSE. NEITHER SALVATORE NOR ITS AFFILIATES SHALL BE LIABLE FOR THE CONDUCT OF ANY MEMBER.

5. Description of Services

5.1 Salvatore Services: Salvatore’s services include:

Connection Services: Providing a platform where Members can upload, submit, store, send, and receive language learning content, connect with each other, and arrange Teacher Services.
Payment Services: Facilitating payment processing, credit purchase, dispute resolution, and other related services as per the Payment Policy.
Business Services: Allowing Companies to manage accounts for their Employees, track lesson completions, and control credit balances through a Company account.
Paid Subscription Services: Granting access to premium features or content for a fee.

5.2 Teacher Services: Teachers may provide Teacher Services via the Salvatore Platform. By registering as a Teacher, you agree to comply with the Teacher Policy. Salvatore’s role is solely to facilitate the platform, not to provide the actual Teacher Services.

5.3 AI-Powered Features and Services: From time to time, Salvatore may offer AI-powered features such as generated learning materials, personalized exercises, recommendations, pronunciation feedback, language assessments, and conversational interfaces.

5.3.1 No Guarantee; Accuracy and Reliability: The AI-powered features may produce errors or inaccuracies. You acknowledge that you must verify any output independently, and Salvatore is not liable for any consequences from reliance on such output.

5.3.2 Member Responsibilities: When using AI-powered features, you agree to provide accurate input, verify outputs, use caution, and report any significant errors.

5.3.3 Third-Party AI Services: AI-powered features may use services provided by third parties (e.g., OpenAI), and your use of these services is subject to the applicable third-party terms.

6. Privacy and Data Security

Salvatore is dedicated to protecting your privacy and ensuring the security of your personal information. Please refer to our Privacy Policy for details on how your personal data is collected, used, and safeguarded.

7. Salvatore Account

7.1 Account Registration: To use many features of the Salvatore Platform, you must create a Salvatore Account. This account is for personal, non-commercial use only. If you register on behalf of a Company, you represent that you have the authority to bind that Company. You agree to provide truthful and accurate information during registration and to update such information as necessary. Salvatore reserves the right to suspend or terminate multiple or fraudulent accounts.

7.2 Third-Party Account: You may register using third-party social networking sites (e.g., Facebook, WeChat). If you do so, your use of the Salvatore Platform will be governed by both these Terms and the third-party's terms.

7.3 Linking Third-Party Accounts: You may link your Salvatore Account with third-party accounts, thereby permitting Salvatore to access information from those accounts as permitted by their terms. Linked content may appear on your Salvatore profile.

7.4 Company Association: If you are an Employee registering through a Company, your account may be associated with that Company. The Company is responsible for managing access and ensuring compliance.

8. Virtual Currency of Salvatore Product

8.1 Virtual Currency License: Salvatore may offer a virtual currency (e.g., "Salvos") within the Salvatore Product. This currency represents a limited, non-redeemable license to access certain services and has no cash value.

8.2 Virtual Currency Fees: Salvatore reserves the right to charge fees or distribute virtual currency at its sole discretion. Virtual Currency may expire after a period of inactivity.

8.3 Managing Your Virtual Currency: All purchases of Virtual Currency are final and non-refundable. Salvatore reserves the right to adjust your Virtual Currency balance in cases of unauthorized transactions.

8.4 Transfers of Virtual Currency; Unauthorized Transactions: Unauthorized transfer, sale, or exchange of Virtual Currency is strictly forbidden and may result in account termination.

8.5 Purchasing Virtual Currency: Virtual Currency can be purchased using designated payment methods. Your use of third-party billing providers is subject to their terms.

9. Ownership

All content available on the Salvatore Platform is either owned by Salvatore or licensed to Salvatore by third parties. As between you and Salvatore, you own your Member Content, while Salvatore owns the Salvatore Content and related intellectual property.

10. License Grant

Subject to your compliance with these Salvatore Terms, Salvatore grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable license to access and use the Salvatore Platform. This license does not include any rights to modify, copy, distribute, or create derivative works from the Salvatore Content or Member Content without prior written permission.

11. Member Content

You may post or upload Member Content to the Salvatore Platform. By doing so, you grant Salvatore a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license to use, modify, display, distribute, and otherwise exploit your Member Content. Salvatore does not claim ownership of your Member Content.

You are solely responsible for your Member Content and must ensure that you have all necessary rights and permissions to post such content.

12. Restrictions

You agree not to use the Salvatore Platform in any manner that violates these Salvatore Terms or infringes on the rights of others. Prohibited activities include, but are not limited to:

Spam or commercial advertising without permission.
Using the platform for dating or romantic relationships.
Harassing, bullying, or stalking other Members.
Impersonating others or misrepresenting your identity.
Sharing personal information of others without consent.
Threatening violence or inciting terrorism.
Posting offensive or hate speech.
Sharing inappropriate or pornographic content.
Infringing on third-party intellectual property rights.
Promoting self-harm or dangerous behavior.
Defaming Salvatore or its Members.
Engaging in political or religious debates that disrupt the platform.
Violating any applicable law.

Additional restrictions include using automated tools to access the platform, reverse engineering the platform, interfering with its operation, and other activities determined by Salvatore to be harmful.

13. Links

The Salvatore Platform may contain links to third-party websites or resources. Salvatore is not responsible for the availability or accuracy of such external sites and does not endorse their content. You assume all risks associated with accessing any third-party sites.

14. Enforcement of Salvatore Terms of Service

Salvatore may suspend or terminate your account if we believe you have violated these Salvatore Terms or acted in a manner that could harm Salvatore or its Members. This includes suspending access to services, freezing virtual currency balances, and terminating accounts without notice.

15. Disclaimers

THE SALVATORE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED. SALVATORE DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOUR USE OF THE SALVATORE PLATFORM IS AT YOUR OWN RISK.

SALVATORE DOES NOT GUARANTEE THE ACCURACY OR RELIABILITY OF ANY THIRD-PARTY CONTENT OR THE PROFESSIONAL QUALIFICATIONS OF TEACHERS. ANY DECISIONS OR ACTIONS BASED ON SUCH CONTENT ARE AT YOUR OWN RISK.

16. Limitation of Liability

IN NO EVENT SHALL SALVATORE, ITS LICENSORS, OR TEACHERS BE LIABLE FOR ANY SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SALVATORE’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICES IN THE SIX (6) MONTH PERIOD PRECEDING THE CLAIM.

17. Indemnification

You agree to indemnify, defend, and hold harmless Salvatore and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Salvatore Platform, any breach of these Terms, or your violation of any rights of a third party.

18. Suspension, Termination or Cancellation

18.1 Termination by You: You may terminate these Salvatore Terms at any time by closing your Salvatore Account, discontinuing use of the Salvatore Platform, and deleting the Applications.

18.2 Termination by Salvatore: We reserve the right to suspend, cancel, or terminate your account or access to the Salvatore Platform without notice for any reason, including breaches of these Terms or inactivity exceeding twelve (12) months.

18.3 Survival: The provisions regarding Ownership, Member Content, Restrictions, Links, Enforcement, Disclaimers, Limitation of Liability, Indemnification, and other sections will survive termination.

19. Entire Agreement

These Salvatore Terms, along with the Salvatore Policies referenced herein, constitute the entire agreement between you and Salvatore regarding your use of the Salvatore Platform, superseding all prior agreements.

20. Assignment

You may not assign or transfer these Salvatore Terms without our prior written consent. Salvatore may assign or transfer these Terms at its sole discretion.

21. Notices

Salvatore will communicate with you electronically via the email address provided in your Salvatore Account or by posting notices on the Salvatore Platform. You are responsible for keeping your contact information up to date.

22. Governing Law

22.1 For Residents Outside of the United States: Any claims arising from the Salvatore Platform or these Terms shall be governed by the laws of [Your Jurisdiction], without regard to conflict of laws principles.

22.2 For Residents in the United States: Any claims arising in the United States shall be governed by the laws of the State of California.

23. Dispute Resolution; Binding Arbitration and Class Action Waiver

READ THIS SECTION CAREFULLY AS IT MAY AFFECT YOUR LEGAL RIGHTS.

23.1 Informal Dispute Resolution: You and Salvatore agree to attempt to resolve any disputes through informal negotiations for at least thirty (30) calendar days before initiating arbitration.

23.2 For Residents Outside of the United States: If a dispute is not resolved informally, it shall be resolved by arbitration in [City/Region] under the rules of the designated arbitration center.

23.3 For Residents in the United States: Any unresolved dispute shall be finally settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with any costs governed by those rules. The arbitration shall be held at a location convenient to you within the United States. You and Salvatore agree that any arbitration will be conducted on an individual basis and waive any right to a class action.

23.4 30 Day Right to Opt Out: You have the right to opt out of the arbitration provisions by notifying us in writing within 30 days of your first use of the Salvatore Platform.

24. Feedback

Any ideas, suggestions, or other feedback ("Feedback") you provide to Salvatore is non-confidential and you hereby grant Salvatore an irrevocable, non-exclusive, royalty-free, perpetual license to use, modify, and sublicense the Feedback.

25. General

The failure of Salvatore to enforce any right or provision of these Terms shall not constitute a waiver of future enforcement. If any provision of these Terms is held invalid, the remaining provisions will continue in full force and effect.
